Official Rules

No Purchase or Payment Necessary to Enter or Win. A Purchase will not increase your chances of winning.

Eligibility:The Do us a Favor and Rename our Latest Flavor Contest (hereafter, “Contest”) is open to legal residents of the 50 United States and the District of Columbia who are 13 years of age or older as of date of entry. All entrants under 21 and who are considered minors in their jurisdiction of residence must have a parent’s or legal guardian’s permission to participate in this Contest. Officers, directors, employees, representatives, and agents of Cadbury Adams USA LLC (hereafter, “Sponsor”), Project Support Team, Inc., and their respective parents, affiliates, subsidiaries, retailers, distributors, suppliers, and advertising and promotion agencies (collectively, the “Released Parties”), and their immediate family members (parent, spouse, child, or sibling, and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, are not eligible to enter or win a prize. Void where prohibited by law. All applicable federal, state and local laws apply.

Promotion Period: The Contest entry period begins 12:00:00 pm (noon) Eastern Time (“ET”) on 10/1/08 and ends 11:59:59 am ET on 4/30/09 (hereafter, “Promotion Period”).

To Enter: Submit your original idea in 50 characters or less (including spaces), inclusive of the word “mint” for a new name for the Stride® Nonstop Mint™ gum flavor (hereafter, “Idea”) as described in the next paragraph. You may enter as often as you like, however to be eligible, each Idea must be submitted separately, cannot have been previously published or submitted in any competition and must be: (i) no more than 50 characters in length (including spaces); (ii) complete; (iii) include the word “mint”; (iv) in English; (v) substantially different from any other Idea you are submitting; (vi) your original creation; (vii) compliant with any and all applicable federal, state, and local laws, rules and regulations; and (viii) in keeping with the Sponsor’s image and may not be offensive, as determined by the Sponsor in its sole discretion, nor can it defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any third party rights (including, without limitation, third party trademarks and copyrights). Modification of an existing work does not qualify as original.

To Submit Entry: Visit www.STRIDEGUM.com (the “Website”) during the Promotion Period and follow the instructions provided to complete and submit the Official Entry Form, which will include your Idea. Entry must be submitted during the Promotion Period to be considered. Incomplete entries and/or entries containing inaccurate entrant information may be disqualified at Sponsor’s sole discretion. Other than as otherwise specified herein, neither Sponsor, nor anyone acting on its behalf, will enter into any communications with any entrant regarding this Contest or acknowledge or return any entry received. Any entry not meeting all entry requirements stated herein may be disqualified. Entries that are deemed by Sponsor or the judges in their sole discretion to be immoral, obscene, profane or not in keeping with Sponsor’s image, infringes the rights of a third party or is in violation of these Official Rules will be void. The use of script, macro or automated or mechanical devices (or any other devices intended to automate or mechanically reproduce any aspect of entry) to enter Contest is prohibited and any entry through such means and any entry that is deemed to be ineligible (at Sponsor’s sole discretion and in accordance with these Official Rules) will be void. In the event of a dispute as to the identity of an entrant based on the e-mail address submitted, entry will be awarded to the person named on the applicable Official Entry Form (regardless of whether that is the name of the authorized account holder of the e-mail address from which said entry form was submitted) provided such individual is eligible according to these Official Rules.

Released Parties are not responsible for lost, incomplete, invalid, unintelligible, inaccurate, undeliverable, late, garbled, illegible, stolen, damaged or misdirected entries, all of which will be disqualified, or for telephonic, human or computer failures, problems or errors, interruptions in service due to system upgrades, repairs, modifications or other causes, failures or malfunctions of connections, satellite, network, cable, Internet Service Provider (ISP), phones, phone lines or telephone systems, traffic congestion on the Internet, technical or mechanical malfunctions, or other malfunctions or errors, whether caused by equipment, programming, human error or otherwise relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing or judging of entries,the tabulation of votes or the announcement of the prize; or for any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Contest, or for printing, typographical, human or other errors appearing in these Official Rules or other Contest-related materials. Sponsor reserves the right, in its sole discretion, to void any entries of entrants whom Sponsor believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Contest or is in violation of these Official Rules.

Finalist Judging: Based on the following criteria, ten (10) Finalists will be determined from among all eligible entries/Ideas received by a panel of qualified judges determined by Sponsor: 1.) Originality: 0-30 points; 2.) Capture of Mint Flavor Description: 0-30 points; and 3.) Fit with the Stride Brand: 0-40 points. Potential Finalists will be selected on or about 5/11/09 and will be notified by telephone and/or overnight mail and/or regular mail. In the event of a tie, such tied Ideas will be re-judged by a separate panel of judges determined by Sponsor based on the following criteria: Fit with the Stride Brand 0-100 points, and such process will be continued until Potential Finalists are selected. By participating, entrants (and if eligible minors their parents or legal guardians) agree to abide by these Official Rules and the decisions of the Sponsor and judges which are final and binding on all matters relating to this Contest. Potential Finalists (and, if an eligible minor, his/her parent or legal guardian) may be required to execute and return an Affidavit of Eligibility, Liability and (where legal) Publicity Release within five (5) days of date of issuance of notification. Noncompliance with the foregoing or with these Official Rules, any notification being returned as non-deliverable or Sponsor’s inability to contact any Finalist within a reasonable time period may result in disqualification and, at Sponsor’s sole discretion, an alternate entry being chosen. A potential Finalist will not be included in Peer Voting unless he/she has signed and returned all requested documents as required by Sponsor and unless his/her eligibility has been formally verified by Sponsor and unless he/she has been declared to be an official Finalist by Sponsor.

Peer Voting: Beginning on 6/1/09, the ten (10) Finalist Ideas will be posted online for peer voting. Visitors to the Website between 12:00:00 pm (noon) ET on 6/1/09 and 5:00 pm ET on 6/12/09 (hereafter, “Voting Period”) will be able to vote for one of the Finalist Ideas (following the directions provided) based on the following criteria: 1.) Originality: 0-30 points; 2.) Capture of Mint Flavor Description: 0-30 points; and 3.) Fit with the Stride Brand: 0-40 points. Limit one (1) vote per person/per valid email address for the duration of the Voting Period. Additional votes received from any person or email address or generated by script, macro or other automated means or with the intent to affect the integrity of the voting process will be void. At the conclusion of the Voting Period, the Idea that receives the most votes will be deemed the Grand Prize winning Idea and the entrant who submitted such Idea will be deemed the Grand Prize winner. In the event of a tie, such tied entries/Ideas will be judged by a “tie-breaking” judge based on: Fit with the Stride Brand 0-100 points, and such process will be continued until a Grand Prize winner is selected. Potential Grand Prize winner will be notified by telephone and/or overnight mail and/or regular mail on or about 6/15/09.

(1) Grand Prize: A check in the amount of $10,000 and one (1) year supply of Stride® gum (awarded in the form of fifty-two (52) single packs in a variety of flavors selected by Sponsor in its sole discretion). Approximate Retail Value: $10,067.08. All prize details will be determined by Sponsor in its sole discretion. All federal, state and local taxes, and any other costs and expenses associated with prize acceptance and use not specifically stated herein are the sole responsibility of the winner.

Product Name: In addition to all other rights granted to Sponsor hereunder, Sponsor shall have the right, but not the obligation, to release the Grand Prize winner’s Idea (modified as Sponsor sees fit) on packaging to the public as the new name for Nonstop Mint™ (as determined by Sponsor in its sole discretion) with or without crediting the name of winner on such packaging (in Sponsor’s sole discretion). Sponsor may choose to use winner’s Idea (modified as Sponsor sees fit) and/or name indefinitely on packaging or for a limited time, in limited or unlimited quantities, or not at all, or in any other manner as Sponsor determines in its sole discretion. Exact reproduction and appearance and/or image of name and distribution are at Sponsor’s sole discretion. SPONSOR HAS NO OBLIGATION TO USE THE GRAND PRIZE WINNER’S IDEA OR NAME ON ANY PACKAGING OR ADVERTISING OR IN ANY OTHER MANNER. If, for any reason, Sponsor chooses not to use the winner’s Idea or the winner’s name on packaging, no compensation or substitution will be provided and Sponsor will have no further obligation to winner.

General Conditions: No transfer, assignment, cash redemption or substitution of prize (or portion thereof) except by Sponsor who may substitute the prize (or portion thereof) with one of comparable or greater value, at its sole discretion. If a minor entrant is selected as the Grand Prize winner, prize will be awarded in name of the parent/legal guardian of such entrant and for the purpose of these Official Rules, such parent or legal guardian will be considered the “winner” and must comply with all requirements imposed on winner set forth herein. By entering the Contest, each entrant (and, if an eligible minor, his/her parent or legal guardian) warrants and represents that his/her submitted Idea complies with these Official Rules, does not defame or otherwise violate or infringe upon the rights (including, but not limited to, trademark and copyright) of any third party and does not violate any federal, state or local laws or ordinances. By entering the Contest, each entrant (and, if an eligible minor, his/her parent or legal guardian) acknowledges and agrees that Sponsor may obtain many entries/Ideas under this Contest and that such entries/Ideas may be similar or identical in theme, idea or other respects to others submitted under this Contest and/or other Contests staged or sponsored by Sponsor, and waives any and all claims entrant may have had, may have and/or may have in the future, that any entries/Ideas and/or other works accepted, reviewed and/or used by other entrants and/or Sponsor (or its designees) may be similar to entrant’s.

Entrant (and, if an eligible minor, his/her parent or legal guardian) further agrees, warrants and represents that: (1) the Ideas (and all material embodied therein) are original and do not defame or invade privacy or publicity rights of any kind, or infringe either the privacy of any person, living or deceased, or violate any other third party rights (including without limitation copyrights or trademark rights); (2) by entering the Contest, the entrant (and, if an eligible minor, his/her parent or legal guardian) irrevocably assigns to Sponsor and its designees any and all rights, title and interest in the Idea, including but not limited to all intellectual property rights therein; (3) Sponsor and its designees shall have, without limitation, the perpetual, exclusive, unlimited, sublicensable (through multiple tiers), assignable, fully paid, royalty free, right to edit, adapt, modify, publish, exploit and use the Idea and entry in any way and in any and all venues or media now or hereafter known anywhere in the world for trade, advertising, promotional or any other lawful purposes as Sponsor and/or its designees may determine without further consideration, permission or notification to entrant or any third parties; (4) all entries, Ideas and all components thereof become the exclusive property of Sponsor and will not be acknowledged or returned; and (5) Sponsor and its designees shall have the right and permission to use (unless prohibited by law) entrant’s name, voice, city and state of residence, submitted Idea, photographs and/or likeness in any way and in any and all venues or media now or hereafter known anywhere in the world in perpetuity for advertising, trade, promotional or any other lawful purpose (including, without limitation, on product packaging), without further consideration, permission or notification to entrant or any third parties.

Entrant (and, if an eligible minor, his/her parent or legal guardian) further agrees as follows: (1) to release the Released Parties from all liability and to indemnify, defend and hold harmless the Released Parties from and against any claim, action, liability, loss, injury or damage to entrant or any other person or entity, including, without limitation, personal injury or death to entrant or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize or participation in or administration of this Contest, or the use of any Idea or entry or any of the rights granted herein; (2) to waive all rights to claim or collect punitive, incidental, consequential or any other damages; (3) that all causes of action relating to this Contest will be resolved individually without resort to any form of class action; (4) that any and all claims, judgments, or awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees; and (5) that New York law shall apply exclusively to the Contest and that any dispute with respect to the Contest shall be resolved in either the federal or state courts located in the State of New York.

Released Parties are not responsible for any inability of the Grand Prize winner to accept the prize and reserve the right, at their sole discretion, to disqualify or eliminate the Grand Prize winner and award prize to the next runner-up. Sponsor reserves the right, in its sole discretion, to modify, suspend, and/or terminate this Contest should virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or proper play of the Contest and, in the case of termination, at its discretion, select (i) entries to qualify for judging from all non-suspect, eligible entries/Ideas received prior to event requiring cancellation, termination or suspension; (ii) Finalists from among all eligible entries/Ideas received; and (iii) Grand Prize winner from among all non-suspect, eligible votes received up to time of such action. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND/OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
